These Terms of Use ("Terms") govern your access to and use of the websites, applications, APIs, software tools, dashboards, reports, documentation, demos, and related products and services provided by TestMachine, Inc. and its affiliates ("TestMachine," "we," "us," or "our") (collectively, the "Platform").

By accessing or using the Platform, creating an account, using an API key, submitting code or other materials for analysis, or otherwise interacting with TestMachine, you agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of a company, protocol, exchange, DAO, fund, custodian, auditor, or other organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Platform.

These Terms apply except to the extent you and TestMachine have entered into a separate written agreement, such as a master services agreement, statement of work, order form, non-disclosure agreement, data processing agreement, enterprise subscription agreement, or audit engagement letter. If there is a conflict between these Terms and a separately executed written agreement, the separate written agreement controls for the subject matter it covers.

1. Who May Use the Platform

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Platform. By using the Platform, you represent that you meet this requirement and that your use of the Platform complies with all applicable laws, regulations, contractual obligations, and internal policies.

You may not use the Platform if you are prohibited from doing so under applicable law, including export control, sanctions, cybersecurity, anti-money laundering, or counter-terrorism laws.

2. The Platform

TestMachine provides software tools and related services for cybersecurity analysis, smart contract security, penetration testing, blockchain and protocol analysis, token risk analysis, application security, infrastructure security, monitoring, reporting, and related technical workflows.

The Platform may include automated analysis systems, AI-assisted tools, reinforcement learning systems, simulation environments, vulnerability discovery workflows, smart contract execution environments, custody-risk classification tools, APIs, dashboards, machine-readable outputs, reports, benchmarks, and other features.

The Platform is intended to support defensive security, authorized testing, technical diligence, risk assessment, monitoring, and remediation. It is not intended to support unauthorized exploitation, theft, market manipulation, fraud, evasion, or offensive activity against systems, protocols, contracts, wallets, users, assets, or infrastructure that you do not own or have permission to test.

3. Accounts, Credentials, and API Keys

Some parts of the Platform may require an account, API key, or other credentials. You agree to provide accurate registration information, keep your credentials secure, and promptly notify TestMachine if you suspect unauthorized access or compromise.

You are responsible for all activity under your account, API keys, tokens, credentials, and authorized users. You may not share credentials except as expressly permitted by TestMachine or under an applicable enterprise agreement. You must maintain appropriate internal access controls for your personnel and systems.

TestMachine may impose authentication requirements, usage limits, rate limits, quota limits, access restrictions, logging requirements, or security controls. You may not circumvent or attempt to circumvent those controls.

4. Responsible Use of the Platform

Because the Platform provides powerful cybersecurity and smart contract analysis capabilities, you agree to use it responsibly and only for lawful, authorized, and defensive purposes.

4.1 Permitted Responsible Use Cases

You may use the Platform for the following purposes, provided that you have all required rights, permissions, and authorizations:

  1. Analyzing your own code, smart contracts, applications, systems, infrastructure, repositories, APIs, deployments, or configurations.
  2. Analyzing third-party code or systems where you have written authorization from the owner, sponsor, auditor, client, protocol, DAO, exchange, custodian, or other responsible party.
  3. Performing defensive smart contract security review, including vulnerability discovery, exploit validation in controlled environments, invariant testing, fuzzing, simulation, and remediation planning.
  4. Assessing token, asset, or protocol risks for custody, listing, integration, investment diligence, portfolio monitoring, insurance, governance, or operational risk purposes, subject to applicable law and authorization.
  5. Testing deployed or undeployed smart contracts in local, forked-mainnet, private, staging, sandbox, simulation, or testnet environments.
  6. Generating internal security reports, risk scores, machine-readable outputs, findings lists, technical summaries, remediation tickets, and related operational artifacts.
  7. Monitoring assets, contracts, protocols, repositories, or systems for authorized security, operational, or compliance purposes.
  8. Using TestMachine outputs to prioritize remediation, improve code quality, harden systems, support responsible disclosure, or improve security operations.
  9. Benchmarking, evaluating, or validating model or tool performance where such use does not violate these Terms, third-party rights, confidentiality obligations, or any applicable agreement with TestMachine.
  10. Conducting academic, internal, or commercial security research in a lawful and responsible manner, provided the research does not involve unauthorized access, exploitation, disclosure, or harm.

4.2 Prohibited Uses

You may not use the Platform, Inputs, Outputs, reports, APIs, models, tooling, documentation, or other TestMachine materials to:

  1. Access, test, scan, probe, exploit, attack, disrupt, interfere with, or exfiltrate from any system, protocol, smart contract, wallet, account, network, repository, infrastructure, or service without authorization.
  2. Steal, drain, freeze, redirect, confiscate, manipulate, launder, or otherwise interfere with digital assets, tokens, funds, private keys, credentials, or user balances.
  3. Execute or assist unauthorized exploits on mainnet, production systems, public infrastructure, or third-party environments.
  4. Generate, modify, deploy, or distribute malware, ransomware, credential theft tools, phishing materials, botnets, destructive payloads, exploit kits, or unauthorized persistence mechanisms.
  5. Evade detection, bypass security controls, avoid rate limits, defeat access restrictions, conceal malicious activity, or impair monitoring systems.
  6. Conduct denial-of-service attacks, spam, flooding, scraping, credential stuffing, brute force attacks, automated abuse, or other activity that burdens or disrupts the Platform or any third-party system.
  7. Use vulnerability information, exploit paths, proof-of-concept outputs, or technical findings to harm users, protocols, projects, exchanges, custodians, investors, or other third parties.
  8. Manipulate markets, trading activity, token prices, liquidity, governance processes, oracle inputs, bridges, staking systems, or other economic mechanisms.
  9. Misrepresent the meaning, scope, certainty, or completeness of any TestMachine output, report, score, finding, or analysis.
  10. Publish or disclose confidential, embargoed, MNPI, non-public, or security-sensitive findings without authorization.
  11. Submit code, data, prompts, files, repositories, or other materials that you do not have the right to use or disclose.
  12. Violate intellectual property, privacy, publicity, confidentiality, data protection, cybersecurity, export control, sanctions, securities, commodities, consumer protection, or other applicable laws.
  13. Use the Platform to develop, train, improve, benchmark, or commercialize a competing product, model, service, dataset, vulnerability scanner, security analysis system, or audit automation system, except with TestMachine's prior written consent.
  14. Reverse engineer, decompile, disassemble, scrape, copy, modify, frame, mirror, or otherwise exploit the Platform, except to the extent expressly permitted by law or by TestMachine in writing.
  15. Resell, sublicense, rent, lease, provide service-bureau access to, or otherwise make the Platform available to third parties except as authorized under a written agreement with TestMachine.
  16. Impersonate another person or entity, misrepresent your affiliation, or falsely suggest sponsorship, endorsement, certification, audit approval, or validation by TestMachine.
  17. Use the Platform in any way that could reasonably be expected to expose TestMachine, its customers, users, partners, suppliers, or the public to legal, security, operational, reputational, or financial harm.

5. Authorization and Scope of Testing

You are responsible for ensuring that every system, contract, repository, deployment, asset, account, or environment submitted to or tested through the Platform is within your authorized scope.

For third-party engagements, you must ensure that your authorization covers the specific testing activities being performed, including automated testing, simulation, exploit generation, fuzzing, invariant testing, repository ingestion, contract execution, API testing, monitoring, and report generation.

Where possible, proof-of-concept exploits, adversarial test cases, and vulnerability validation workflows should be executed only in controlled environments, such as local simulations, private forks, staging systems, testnets, or customer-authorized sandboxes. You may not use TestMachine to execute unauthorized exploit logic against production systems, public networks, mainnet assets, or third-party infrastructure.

TestMachine may request evidence of authorization. We may suspend or terminate access if we believe activity is unauthorized, abusive, unlawful, or inconsistent with responsible security practice.

6. Customer Inputs

"Inputs" means code, smart contracts, bytecode, ABIs, repositories, configuration files, addresses, transaction data, blockchain data, prompts, instructions, documentation, credentials, metadata, business information, security information, or other materials that you submit, connect, upload, provide, or make available to the Platform.

You are responsible for your Inputs. You represent and warrant that you have all rights, licenses, permissions, consents, and authorizations necessary to provide Inputs to TestMachine and to permit TestMachine to process them for the purposes described in these Terms and any applicable written agreement.

You should not submit private keys, seed phrases, production credentials, passwords, authentication tokens, secrets, regulated personal data, confidential third-party information, or other sensitive information unless the applicable workflow expressly requires it and appropriate protections are in place.

You retain ownership of your Inputs. Subject to these Terms and any applicable written agreement, you grant TestMachine a limited license to host, copy, process, analyze, transmit, display, and use Inputs as necessary to provide, secure, maintain, support, troubleshoot, and improve the Platform; comply with law; prevent abuse; and fulfill contractual obligations.

7. Outputs, Reports, and Findings

"Outputs" means results generated by or through the Platform, including findings, risk scores, vulnerability descriptions, exploit traces, simulation results, classifications, confidence scores, model outputs, prompts, summaries, remediation suggestions, dashboards, JSON outputs, API responses, reports, benchmark results, and other generated materials.

Subject to your compliance with these Terms and any applicable written agreement, you may use Outputs for lawful internal business purposes, defensive security, remediation, risk analysis, authorized reporting, and other purposes permitted under your agreement with TestMachine.

Outputs may be incomplete, inaccurate, non-deterministic, outdated, or unsuitable for your particular purpose. Outputs may also overlap with outputs generated for other users, especially where similar code, common vulnerabilities, standard libraries, common token patterns, or public blockchain data are involved.

You are responsible for independently reviewing Outputs before relying on them, disclosing them, acting on them, or using them in production, legal, financial, investment, governance, listing, custody, insurance, or operational decisions.

8. AI-Assisted Features

The Platform may use AI-assisted systems, machine learning models, reinforcement learning agents, automated analysis pipelines, static analysis tools, dynamic testing tools, simulation environments, execution traces, model-generated hypotheses, and other automated systems.

AI-assisted features are intended to augment security analysis, not replace professional judgment. TestMachine may use automated systems to generate hypotheses, classify risks, explore action spaces, validate behavior, prioritize findings, or produce structured outputs. However, no AI-assisted system can guarantee that all vulnerabilities, risks, defects, or exploit paths will be discovered.

You acknowledge that AI-assisted Outputs may contain errors, omissions, false positives, false negatives, incorrect severity ratings, incomplete explanations, or assumptions that require human review. You remain responsible for evaluating, validating, remediating, deploying, monitoring, and operating your own code, contracts, systems, and assets.

9. Security Analysis, Audit Services, and Reports

If TestMachine performs a security audit, code review, smart contract review, token risk review, custody-risk assessment, penetration test, monitoring engagement, benchmark, model evaluation, or related professional service for you, and delivers a report, findings list, risk classification, score, API output, dashboard, JSON artifact, or other deliverable, the following terms apply unless a separate written agreement provides otherwise.

9.1 Point-in-Time Assessment

Reports and Outputs reflect the code, configuration, deployment, chain state, dependencies, documentation, assumptions, and information made available to TestMachine within a defined scope and time window. Changes after the relevant cutoff may invalidate findings, alter risk classifications, introduce new issues, or render prior analysis incomplete.

9.2 Scope Limitations

The scope of any analysis is defined by the applicable order form, statement of work, engagement letter, user configuration, API request, dashboard selection, repository connection, contract address, commit hash, chain, branch, environment, framework, or other applicable scope definition.

Anything outside the defined scope is excluded unless expressly included in writing. Excluded areas may include third-party libraries, bridges, oracles, off-chain systems, frontends, deployment scripts, governance operations, key management, market structure, game-theoretic risk, legal compliance, tax treatment, regulatory issues, formal verification, or operational security.

9.3 No Guarantee of Security

Security analysis is inherently incomplete. Reports and Outputs represent TestMachine's reasonable technical analysis within the applicable scope, but they are not a guarantee, warranty, certification, insurance policy, or representation that any code, system, protocol, token, asset, or application is secure, bug-free, exploit-free, compliant, economically sound, or fit for any particular purpose.

The absence of a finding does not mean the absence of a vulnerability, risk, defect, exploit path, or unsafe condition. New vulnerabilities, dependencies, chain conditions, threat actors, governance actions, economic conditions, and attack techniques may emerge after analysis.

9.4 Customer Responsibility

You remain solely responsible for the security, correctness, design, deployment, monitoring, governance, operation, compliance, and maintenance of your code, contracts, systems, assets, and business. You are responsible for deciding whether and how to remediate findings, deploy changes, disclose issues, pause operations, accept risk, or take other action.

TestMachine is not your insurer and does not underwrite, indemnify, guarantee, or assume responsibility for losses, exploits, hacks, governance failures, market losses, asset losses, operational failures, or other adverse events.

9.5 No Third-Party Reliance

Reports and Outputs are prepared for the customer or authorized user who requested them. Unless TestMachine expressly agrees in writing, no third party may rely on any Report or Output, including investors, users, token holders, lenders, counterparties, exchanges, custodians, auditors, insurers, regulators, DAO participants, or integrators.

Public disclosure of a Report or Output does not create any duty, warranty, representation, or liability by TestMachine to any third party. If you disclose a Report or Output, you are responsible for preserving context, scope, limitations, and confidentiality obligations.

10. Custody-Risk, Token-Risk, and Protocol-Risk Analysis

Some Platform features may classify, score, or describe token, smart contract, protocol, governance, custody, transfer, administrative, upgradeability, blacklisting, pausing, minting, external-call, reconfiguration, fee, rebase, arithmetic, event, signature, or other risks.

Risk scores and classifications are technical analysis artifacts. They are not legal, financial, investment, accounting, tax, regulatory, custody, listing, trading, insurance, or compliance advice. They do not determine whether an asset should be listed, traded, held, integrated, insured, purchased, sold, or treated in any particular way.

You are responsible for making your own decisions based on your own policies, risk tolerance, legal obligations, technical review, and professional advice.

11. Confidentiality and Non-Public Information

The Platform may be used to process sensitive, confidential, proprietary, embargoed, security-sensitive, or material non-public information. You are responsible for ensuring that you have the right to provide such information to TestMachine and that your use of the Platform complies with applicable confidentiality obligations, insider trading rules, securities laws, exchange policies, customer obligations, and internal controls.

If your use of the Platform requires special handling of confidential information, MNPI, non-public token lists, private repositories, or sensitive security findings, that handling should be governed by an applicable written agreement with TestMachine.

You may not use the Platform to improperly obtain, infer, disclose, trade on, or misuse confidential information, MNPI, non-public security findings, non-public listing information, or other restricted information.

12. Privacy

Your use of the Platform is subject to TestMachine's Privacy Policy. The Privacy Policy explains how TestMachine collects, uses, discloses, retains, and protects Personal Information.

You agree not to submit Personal Information to the Platform unless you have the right to do so and such submission complies with applicable law, these Terms, the Privacy Policy, and any applicable data processing agreement.

13. Aggregated and De-Identified Data

TestMachine may generate or use aggregated, anonymized, or de-identified data derived from use of the Platform, provided such data does not identify you or any individual and does not disclose your confidential Inputs in identifiable form.

TestMachine may use aggregated, anonymized, or de-identified data for lawful business purposes, including improving the Platform, measuring performance, developing security benchmarks, detecting abuse, evaluating model performance, improving risk frameworks, conducting research, and producing aggregate analytics.

14. TestMachine Materials and Intellectual Property

The Platform, software, models, algorithms, user interfaces, workflows, documentation, report templates, scoring frameworks, datasets, prompts, schemas, designs, trademarks, logos, service marks, and other TestMachine materials are owned by TestMachine or its licensors and are protected by intellectual property and other laws.

Subject to these Terms, TestMachine grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for your authorized internal business purposes and in accordance with these Terms and any applicable written agreement.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, translate, create derivative works from, scrape, or otherwise exploit the Platform or TestMachine materials.

No rights are granted except as expressly stated in these Terms or a written agreement.

15. Feedback

If you provide suggestions, ideas, comments, bug reports, feature requests, benchmark ideas, risk framework suggestions, or other feedback about the Platform ("Feedback"), you grant TestMachine a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, copy, modify, create derivative works from, distribute, display, perform, and otherwise exploit the Feedback for any purpose without compensation or obligation to you.

16. Third-Party Services and Materials

The Platform may integrate with or rely on third-party services, blockchains, RPC providers, cloud providers, model providers, data providers, code repositories, analytics tools, wallets, APIs, libraries, dependencies, explorers, or other third-party materials.

TestMachine does not control third-party services and is not responsible for their availability, security, accuracy, performance, or content. Your use of third-party services may be subject to separate terms, policies, fees, and restrictions.

17. Beta, Preview, and Experimental Features

TestMachine may offer beta, preview, research, experimental, or early-access features. Such features are provided for evaluation purposes, may be incomplete or unstable, may change without notice, may produce incorrect results, and may be discontinued at any time.

Unless otherwise agreed in writing, beta and experimental features are provided "as is," without warranties, service commitments, support commitments, or availability obligations.

18. Fees and Payment

Certain parts of the Platform may require payment. Fees, billing terms, usage limits, subscription terms, renewal terms, taxes, and payment obligations will be described in the applicable order form, invoice, subscription page, statement of work, or written agreement.

Unless otherwise stated in writing, fees are non-refundable except as required by law. You are responsible for taxes, duties, and similar charges, excluding taxes based on TestMachine's net income.

If payment is overdue, TestMachine may suspend or terminate access to paid features, APIs, reports, dashboards, or services.

19. Availability, Changes, and Suspension

TestMachine may modify, suspend, discontinue, or restrict the Platform, or any part of it, at any time. We may also update models, tools, workflows, scoring systems, risk frameworks, interfaces, documentation, APIs, and output formats.

TestMachine may suspend or terminate your access if we believe that you have violated these Terms, created risk for TestMachine or others, used the Platform unlawfully or irresponsibly, exceeded usage limits, failed to pay fees, compromised security, or submitted unauthorized materials.

We may also suspend access to protect the Platform, comply with law, respond to security incidents, prevent abuse, or protect third parties.

20. Security Breach and Responsible Disclosure

If you suspect that your TestMachine account, API key, credentials, or security details have been compromised, or if you become aware of any fraud, attempted fraud, vulnerability, or security incident affecting you or TestMachine, you must notify TestMachine promptly and provide accurate information.

If you discover a vulnerability in the Platform, you agree to report it responsibly and not exploit it, disclose it publicly, access data, disrupt service, or harm TestMachine or its users.

21. Disclaimers

THE PLATFORM, TESTMACHINE MATERIALS, AI FEATURES, OUTPUTS, REPORTS, DOCUMENTATION, APIs, BETA FEATURES, AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," EXCEPT TO THE EXTENT EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, TESTMACHINE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND ERROR-FREE OPERATION.

TESTMACHINE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VULNERABILITIES, OR THAT DEFECTS WILL BE CORRECTED. TESTMACHINE DOES NOT WARRANT THAT OUTPUTS OR REPORTS WILL BE COMPLETE, ACCURATE, OR SUFFICIENT FOR YOUR PURPOSES.

NO TESTMACHINE OUTPUT, REPORT, SCORE, FINDING, CLASSIFICATION, OR STATEMENT CONSTITUTES LEGAL, FINANCIAL, INVESTMENT, TAX, ACCOUNTING, REGULATORY, INSURANCE, CUSTODY, TRADING, OR OTHER PROFESSIONAL ADVICE.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TESTMACHINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, DIGITAL ASSETS, TOKENS, FUNDS, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, TESTMACHINE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) USD $100; OR (B) THE AMOUNTS PAID BY YOU TO TESTMACHINE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

The foregoing limitations apply regardless of the theory of liability, whether based in contract, tort, negligence, strict liability, warranty, statute, or otherwise. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

23. Indemnification

You will defend, indemnify, and hold harmless TestMachine and its officers, directors, employees, agents, affiliates, licensors, suppliers, and service providers from and against any claims, liabilities, damages, losses, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  1. your use or misuse of the Platform;
  2. your Inputs, Outputs, reports, disclosures, or security activities;
  3. your violation of these Terms or any applicable law;
  4. your infringement, misappropriation, or violation of third-party rights;
  5. your unauthorized testing, exploitation, disclosure, or use of any system, contract, protocol, repository, data, asset, or infrastructure;
  6. your failure to obtain required authorization, consent, or rights; or
  7. any third-party reliance on a Report or Output that you disclose or make available.

24. Export Controls and Sanctions

You may not access or use the Platform in violation of applicable export control, sanctions, anti-terrorism, anti-money laundering, or similar laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions, and that you are not identified on any applicable restricted-party list.

You may not use the Platform for prohibited end uses, including unauthorized cyber operations, weapons development, sanctions evasion, or other restricted activities.

25. Changes to These Terms

TestMachine may update these Terms from time to time. If we make material changes, we will post the updated Terms with a new "Last Updated" date or provide notice as required by law. Your continued use of the Platform after updated Terms become effective means that you accept the updated Terms.

26. Termination

You may stop using the Platform at any time. TestMachine may suspend or terminate your access at any time if you violate these Terms, if required by law, if your use creates risk, if payment is overdue, or if we discontinue the Platform or any part of it.

Upon termination, your right to access and use the Platform ends immediately. Sections that by their nature should survive termination will survive, including provisions relating to ownership, confidentiality, responsible use, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous terms.

27. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles.

You and TestMachine agree to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for all disputes arising out of or relating to these Terms or the Platform, except where applicable law requires otherwise.

28. Miscellaneous

These Terms, together with the Privacy Policy and any applicable written agreement, are the entire agreement between you and TestMachine regarding the Platform.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

TestMachine's failure to enforce any provision is not a waiver of its right to do so later.
